General Terms and Conditions of Sale

Unless otherwise specifically agreed upon, all sales of supplies or services by our company are governed by these terms and conditions, notwithstanding any contrary clauses from the contracting party.

1. ORDERS

All orders are subject to our acceptance and are governed by the pricing, deadlines, and payment conditions mentioned herein or published at our premises. Our offers and quotes are binding only for the validity period they specify; otherwise, they are deemed valid for one month from the date they are issued. Unless otherwise stipulated, no offer or quote is considered to be a fixed price agreement. Any additional charges, parts, or supplies not previously specified will be invoiced separately if they are requested by the client and fall outside the usual scope of VLC Biocorp SL’s standard references.

2. PRICES

All our prices are calculated for goods collected from our warehouse in Valencia, Spain, and are subject to full compliance with our terms of sale. Our prices are firm for accepted orders. Prices may be modified without prior notice. Our prices are displayed excluding taxes and will be increased by all applicable mandatory taxes on the day of delivery, as well as any shipping fees, customs duties, or currency exchange rates, if applicable.

3. DEADLINES

Order availability timelines, whether mentioned or not, are provided for informational purposes only. In the event of transportation shortages, if it can be demonstrated that the item sold is available in our warehouses, it will be the client’s responsibility to arrange collection, notwithstanding any specific agreements regarding transportation fees, if applicable.

4. TRANSPORTATION

In accordance with Articles 105 and following of commercial law, goods travel at the recipient’s risk. The recipient alone is responsible for filing claims with the carrier. We reserve the right to refuse a carrier chosen by the contracting party if the carrier does not meet the conditions required by us.

5. EQUIPMENT: Warranty

Compliance with installation and assembly instructions for our equipment is mandatory. We disclaim all liability in cases where industry standards are not adhered to. In the event of damages, regardless of the cause, our warranty covers only our equipment. For our warranty to be valid, the use of our equipment must comply with the standards prescribed by our technical service. Any return of equipment must be pre-approved by us, shipped prepaid, and in its original packaging.
